How it works

How we run the matter

  1. Confirm the structure, capital and shareholding are settled — or refer the open questions to advisory first
  2. Reserve the company name with the Department of Business Development
  3. Draft the memorandum, director consents and statutory forms
  4. Signing by the promoters, shareholders and directors
  5. File the incorporation with the Department of Business Development
  6. Register for tax, VAT and Social Security, then hand over the corporate document set

Documents to prepare

  • Passports or ID cards of every promoter, shareholder and director
  • Registered-office address proof and the premises owner’s consent
  • Proposed company names, in order of preference
  • Description of the business activity and the share-capital plan
  • Location map of the registered office for the filing

Common questions

Straightforward registrations are usually completed within REGISTRATION_TIMEFRAME once all documents and signatures are in hand. Foreign shareholding or licensing questions add time before filing, not usually at the registry itself.
A Thai private limited company can now be formed with a minimum of two promoters and maintained with two shareholders, following the Civil and Commercial Code amendment in force since 2023. Nominee shareholding to disguise foreign ownership is unlawful — we do not structure around it.
It depends on the business activity. Activities restricted under the Foreign Business Act need a Foreign Business Licence, BOI promotion or treaty protection before majority foreign ownership is possible. This is assessed before the filing, not after.
Several steps can be handled through a power of attorney and documents signed abroad. Whether we can run your incorporation fully remotely depends on the case: REMOTE_SIGNING_NOTE.
Government fees are fixed by regulation; our professional fee is quoted in writing before work begins. FEE_STRUCTURE
Not yet. Choosing the structure is business-structuring advice, handled under our Corporate & Business Advisory practice. This service carries out the registration once the structure is settled — and if the choice is still open when you contact us, we route the question there first.
