Straightforward registrations are usually completed within REGISTRATION_TIMEFRAME once all documents and signatures are in hand. Foreign shareholding or licensing questions add time before filing, not usually at the registry itself.

A Thai private limited company can now be formed with a minimum of two promoters and maintained with two shareholders, following the Civil and Commercial Code amendment in force since 2023. Nominee shareholding to disguise foreign ownership is unlawful — we do not structure around it.

It depends on the business activity. Activities restricted under the Foreign Business Act need a Foreign Business Licence, BOI promotion or treaty protection before majority foreign ownership is possible. This is assessed before the filing, not after.

Changes to the name, objectives, memorandum, articles and capital require a special resolution passed at a properly-notified shareholders’ meeting; some routine matters sit at board level. We confirm the required resolution before the notice goes out, because a defective notice means filing again.

Once the resolution is validly passed, registry filing is usually completed within AMENDMENT_TIMEFRAME. The statutory meeting-notice period runs before that, so the calendar is set by the notice, not the filing.
